Terms of Service

1. Agreement to these Terms

These Terms of Service (“Terms”) form a binding agreement between you and Mengary LLC (“we”, “us”, or “our”), the company that operates the VoiceAgent product at www.voiceagent.chat. They govern your access to and use of our website, dashboard, APIs, and related services (the “Service”).

By creating an account, clicking to accept these Terms, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.

2. The Service

VoiceAgent is a multi-tenant platform for building, configuring, and operating AI voice agents. Features may include (depending on your plan and configuration):

  • Creating and managing voice agents (prompts, voices, languages, models, tools)
  • Knowledge bases (files, text, URLs) used by agents
  • Phone numbers and call routing via telephony providers
  • Conversation history, transcripts, audio, and usage analytics
  • Custom tools and connected apps (e.g. Calendly, Google Calendar, Airtable, Salesforce) that agents can call during conversations

The Service depends on third-party providers (including conversational AI, telephony, hosting, and optional integrations). We may modify, suspend, or discontinue features with reasonable notice when practicable. We do not guarantee uninterrupted or error-free operation.

3. Accounts and eligibility

  • You must provide accurate registration information and keep it up to date.
  • You must be at least 16 years old (or the age of digital consent in your jurisdiction) and able to form a binding contract.
  • You are responsible for all activity under your account and for safeguarding passwords, API keys, and integration tokens.
  • Notify us promptly at sales@voiceagent.chat if you suspect unauthorized access.
  • We may refuse, suspend, or terminate accounts that violate these Terms or pose security, legal, or abuse risks.

4. Acceptable use

You agree not to misuse the Service. Prohibited uses include, without limitation:

  • Illegal activity, fraud, harassment, threats, or content that violates applicable law
  • Spam, unsolicited bulk calling/messaging, or violating telemarketing, Do-Not-Call, or similar rules (including TCPA, TSR, and local equivalents where applicable)
  • Recording, monitoring, or analyzing calls without required notice or consent under applicable wiretap/two-party consent laws
  • Impersonating others, phishing, social engineering, or deceptive practices
  • Uploading malware, attempting to gain unauthorized access, reverse engineering (except where mandatory law allows), or disrupting the Service
  • Scraping, overloading, or using the Service in a way that interferes with other customers or providers’ rate limits
  • Processing special categories of personal data (e.g. health, biometric for identification, children’s data) unless you have a lawful basis and appropriate safeguards, and the use is permitted by third-party provider terms
  • Using the Service to generate or distribute content that is defamatory, hateful, or that infringes intellectual property or privacy rights of others
  • Reselling the Service or providing it as a white-label offering without our prior written consent, except as expressly allowed by your plan

You are solely responsible for agent prompts, knowledge content, tools, outbound call campaigns, and how your agents interact with end users (“Callers”).

5. Your content and Caller data

5.1 Customer Content

“Customer Content” means data you submit to the Service, including account details, agent configurations, prompts, knowledge base materials, tool definitions, phone number metadata, and materials you upload.

You retain ownership of Customer Content. You grant us a worldwide, non-exclusive license to host, process, transmit, display, and otherwise use Customer Content solely to provide, maintain, secure, and improve the Service, and as otherwise described in our Privacy Policy.

5.2 Caller data

Calls may generate transcripts, audio recordings, phone numbers, tool-call payloads (e.g. names, emails, appointment times), and related metadata (“Caller Data”). You control the purposes for which your agents collect Caller Data. You represent that you have all rights and notices required to collect and process Caller Data through the Service, and that your use complies with privacy, recording, and communications laws.

5.3 Responsibility

You are responsible for backing up Customer Content where needed. We are not responsible for loss of content caused by your actions, third-party provider outages, or force majeure, except as required by law.

6. Third-party services and integrations

The Service integrates with third parties such as conversational AI providers (e.g. ElevenLabs), telephony (e.g. Twilio), scheduling (e.g. Calendly, Google Calendar), CRM (e.g. Airtable, Salesforce), email delivery, and hosting/analytics providers. Your use of those services is also subject to their terms and privacy policies.

  • You authorize us to transmit Customer Content and Caller Data to third parties as needed to operate features you enable (e.g. voice processing, phone calls, calendar booking).
  • Integration credentials (personal access tokens for Calendly and Airtable, OAuth tokens for Google and Salesforce) that you connect are used only for your account. You must not share credentials you do not have rights to use.
  • Third-party features may require paid plans on those platforms (for example, certain Calendly Scheduling API features). We are not responsible for third-party plan limits, outages, or policy changes.
  • Custom webhook tools you configure may send data to endpoints you control; you are responsible for the security and legality of those destinations.

7. AI-generated outputs and no professional advice

Agents use artificial intelligence and speech technologies. Outputs may be inaccurate, incomplete, biased, or inappropriate. You must not rely on the Service as a sole source of legal, medical, financial, or other professional advice.

You are responsible for reviewing agent behavior, testing prompts, and implementing human oversight appropriate to your use case (especially for high-risk or regulated domains).

8. Fees, usage, and taxes

Some features may be free; others may require paid plans, usage-based fees, or pass-through costs from third parties (e.g. telephony minutes, AI model usage). If we offer paid plans:

  • Fees, billing cycles, and included usage will be described at purchase or in your order.
  • Unless stated otherwise, fees are non-refundable except as required by law.
  • You are responsible for applicable taxes.
  • We may suspend access for non-payment after reasonable notice where practicable.

Even on free tiers, third-party providers may charge you separately under your accounts with them.

9. Intellectual property

We and our licensors own the Service, including software, branding, UI, and documentation. These Terms do not grant you ownership of the Service. You may not copy, modify, or create derivative works of our software except as allowed by law or a separate written license.

Feedback you provide about the Service may be used by us without obligation to you.

10. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect that information and use it only for purposes of the relationship, except for information that is public, independently developed, or required to be disclosed by law (with notice where legally permitted).

11. Privacy

Our processing of personal data is described in the Privacy Policy. By using the Service, you acknowledge that processing.

12. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or free of errors, or that results (including AI outputs, bookings, or call quality) will meet your requirements.

13. Limitation of liability

To the maximum extent permitted by law, neither we nor our suppliers will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business interruption, arising out of or related to these Terms or the Service, even if advised of the possibility of such damages.

Our aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months before the claim, or (b) one hundred U.S. dollars (US $100) if you have not paid us.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

14. Indemnification

You will defend, indemnify, and hold harmless Mengary LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your Customer Content or Caller Data; (b) your agents, campaigns, tools, or integrations; (c) your violation of these Terms or applicable law; or (d) disputes between you and Callers or third parties.

15. Suspension and termination

You may stop using the Service at any time and may request account deletion by contacting us. We may suspend or terminate access immediately if you breach these Terms, if required by law or a provider, or to address security risk or abuse.

Upon termination, your right to use the Service ends. Provisions that by nature should survive (including ownership, disclaimers, limitations of liability, and indemnity) will survive. We may delete Customer Content after termination subject to our Privacy Policy and legal retention requirements.

16. Export and sanctions

You may not use the Service if you are located in a sanctioned jurisdiction or are a prohibited party under applicable export control or sanctions laws. You must comply with all such laws in connection with your use of the Service.

17. Changes to the Service or Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date. Material changes may be communicated by email or in-product notice when appropriate. Continued use after changes become effective constitutes acceptance, except where applicable law requires otherwise.

18. Governing law and disputes

These Terms are governed by the laws of the United States, without regard to conflict-of-law principles, unless mandatory consumer protection laws in your country of residence provide otherwise.

Courts in the United States will have exclusive jurisdiction over disputes, except that either party may seek injunctive relief in any competent court for IP or unauthorized access claims. If you are a consumer, you may also have rights to bring claims in your place of residence.

19. General

  • These Terms, together with the Privacy Policy and any order forms, are the entire agreement regarding the Service.
  • If any provision is unenforceable, the remainder remains in effect.
  • Failure to enforce a provision is not a waiver.
  • You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Notices may be sent to the email on your account or to sales@voiceagent.chat.
